Permission to List as a Customer

By utilizing our Services, you provide consent and grant DataGrass permission to use your Name, Brand Name, and Logo for marketing purposes, including publication as part of our Clientele list.

Termination

All liabilities and obligations sustained by different parties before the termination date would continue to be binding even after termination of the given agreement. These Terms of Service will remain in effect until terminated by either party. You can terminate the Terms of Service anytime by notifying us of your decision to discontinue using our services or by ceasing to use our site. We also reserve all the rights of terminating the agreement anytime, without prior notice, if we determine, at our sole discretion, that you have failed to comply with any term or provision of these Terms of Service or if we suspect such non-compliance. You will remain responsible for any outstanding amounts owed up to and including the termination date.

Payment Terms, Taxes, and Charges

You are responsible for paying any applicable fees as outlined in the pricing and payment terms provided to you and agreed upon at the time of your order, whether through an email order or invoice. Additionally, you are responsible for any applicable taxes associated with the Service. It is vital to ensure payment is made promptly using a valid method. By using our services, you agree that we may charge you for any additional fees owed using the selected payment method.

User Data

DataGrass is prohibited from reselling User Data. However, you acknowledge and agree that DataGrass may utilize data taken from User Data for operating, analyzing, improving, or marketing the Services or any associated services. If DataGrass shares or publicly discloses information derived from User Data, reasonable measures will be taken to aggregate the data to prevent identifying specific individuals or Users.

You represent, warrant, and agree that:
(i) you have obtained the User Data lawfully, and it does not and will not violate any applicable laws or infringe upon the rights of any person or entity;
(ii) DataGrass assumes no responsibility or liability for any User Data, and you will be solely responsible for your User Data as well as consequences of disclosing or sharing it, including DataGrass‘s use of this User Data as outlined herein.

It is your sole responsibility to regularly back up your User Data and take necessary measures to protect and maintain the integrity of your User Data.

Suppose you allow DataGrass to automatically retrieve data from your system(s) or third-party system(s)/services/sites on your behalf. In that case, you affirm that you have the necessary permission, authority, and rights to use the Service for accessing and enabling DataGrass to automatically access such system(s)/services/sites and retrieve User Data. You agree that your use of the Service will not violate any terms of service, agreement, privacy policy, or any implicit statements of any third party.

You retain full ownership of all rights, title, and interest (including intellectual property rights) in and to your User Data.

API Usage

DataGrass provides an API as a delivery method for clients to access our services programmatically. The use of the API is subject to the same terms and conditions outlined on this page, as it is an integral part of the services provided by DataGrass. You give your consent to make good efforts to make sure that any software or tools you create using a DataGrass API are not used for any prohibited purposes as specified in these Terms of Use. You are permitted to use the API unless either party terminates the service.

Proprietary and Ownership Rights

The Service provided by DataGrass is operated and owned by DataGrass. It encompasses services, software, products, API, graphics, design, visual interfaces, compilation, computer code, information, and all other components offered by datagrass.com. All trademarks, service marks, and trade names are the property of DataGrass or its affiliates.

Warranty

Unless expressly stated in these Terms, DataGrass does not provide any description, guarantee, or warranty about timeliness, quality, reliability, suitability, availability, accuracy, truth, or comprehensiveness of any Content or services.

Indemnification

You agree to indemnify DataGrass, its subsidiaries, service providers, directors, subcontractors, employees, suppliers, and interns and hold them harmless from any demand or claim, including attorneys’ fees, paid by a third party as a result of or arising from your breach of these Terms of Service or your violation of any law.

Miscellaneous Waiver

DataGrass‘s failure to exercise or enforce any provision or right of the Terms should not be considered as a waiver of such provision or right. Any waiver of a provision in these Terms shall only be effective if it is in writing and signed by DataGrass.

Severability

The unenforceability or invalidity of any provision in the Agreement shall not render the entire Agreement unenforceable or invalid. In such a case, the unchanged provisions shall persist in full effect and force. If any provision is determined to be unenforceable or invalid, the parties will make reasonable efforts to modify it in a manner that reflects their original intent and preserves its legality.

Assignment

This agreement constitutes the entire understanding between you and DataGrass regarding the subject matter discussed herein, and any modifications to this agreement must be made in writing and signed by both parties.

Whole Agreement

This agreement, along with the referenced documents, represents the complete agreement and understanding between the parties regarding the subject matter discussed herein, and it supersedes all prior agreements, whether oral or written, about the specific subject matter addressed in this agreement.

Governing Law

This Agreement shall be governed by and interpreted by the laws of India, with the jurisdiction of any legal disputes arising under this Agreement being vested in the courts of Ahmedabad, Gujarat.

Refund Policy

In case you have any concerns regarding the delivery, we kindly request you follow the steps below:

  1. Immediately report the issue to the project coordinator and the assigned technical lead. 
  2. If the reported issue is not resolved, please inform your account manager from the Business Development team.
  3. If your account manager cannot address your concern, please write to us at sales@datagrass.com detailing your concern.

Upon receiving the details of your concern, the management will exercise its sole discretion in determining whether to provide a full or partial refund.

When submitting your concern, we encourage you to claim the refund by clearly stating the reason for your discomfort. This will help us improve our offerings and address any bottlenecks or problem areas, if applicable.
